WELLNESS TECHNOLOGY MAP LOCATOR

TERMS OF USE

This is an agreement between the User, Void Space Technologies, LLC (VST) and VST Wellness Technology Owners regarding the Wellness Technology Map Locator, data and associated software, and Wellness Sessions (collectively, the “Service”) provided by VST Wellness Technology Owners.

User is defined as anyone who uses the Service provided by VST. This includes:
Guest - a visitor who has landed on voidspacetech.org through their own search exploration.
Client - a person who is keen on finding and receiving a wellness session from a nearby Wellness Technology Owner. A Guest becomes a client when the guest has chosen to experience the Quantum Energy Wellness Bed (QEWB).
Prospect - a person who may be a guest or a client who is considering experiencing the QEWB or purchasing a QEWB, or both.
Customer - a client who has paid for a Wellness Session or for a QEWB.
VST Wellness Technology Owner - an owner of VST’s Wellness Technology who agrees to provide access to and make available their technology for use by visitors. A Wellness Technology Owner may also be a VST Affiliate or a VST Influencer.
VST Affiliate - a marketer of VST’s Wellness Technology and VST’s Wellness Products who may also be a Wellness Technology Owner.
VST Influencer - a person in our niche or industry, who may also be a Wellness Technology Owner, with influence over our target market audience representing VST’s Wellness Technology and VST’s Wellness Products.
VST Wellness Technology Department - VST’s Sales & Marketing Department for the Wellness Technology Division. At present, VST markets one product in the Wellness Technology Division: the Quantum Energy Wellness Bed (QEWB).

Before using the Service, please read these Terms of Use, all rules and policies related to the Service (including any specific rules, usage restrictions and other conditions or procedures that are posted or updated on or through the Service or on voidspacetech.org, the Affiliate Agreement, the Influencer Agreement, Privacy Policy and Terms of Service on voidspacetech.org (collectively, the "Agreement").

By using the Service, User is agreeing to the Terms and Conditions of the Agreement.

1. The Map Locator Service

The Service provides access to VST Wellness Technology Owner’s home or business address, phone number, email address, maps, and other related information (collectively, "Map Data"). The intent of the Map Locator is to support Guests, VST Wellness Technology Affiliates (WT Affiliates), VST Wellness Technology Influencers (WT Influencers), and the Wellness Technology Department (WT Department) in finding, selecting and scheduling Wellness Technology Sessions (Wellness Sessions) on behalf of Prospects with available Wellness Technology Owners (WT Owners).

The Service is intended for User location identification and scheduling purposes only.

Visitors agree to exercise good judgment when using the Service. Use of the Service requires a Wi-Fi or cellular data connection. The Service is offered only in certain jurisdictions; the present focus is within North America. If technical measures are imposed to restrict usage of the Service (or portions thereof), User agrees not to interfere, circumvent or attempt to interfere or circumvent such technical measures. Visitors who visit a VST Wellness Technology Owner for the purpose of having a Wellness Session agree to always remain aware of surroundings and exercise good judgment when receiving Wellness Sessions.

2. Use of the Map Locator Service

2.1 Maps Service Software. The Service includes Map Data and software for User’s use in connection with the Service (the "Software"). Terms contained in the voidspacetech.org Terms of Service apply to User’s use of the Software.

2.2 Third Party Terms of Use. Some parts of the Service are provided by third party licensors.

For additional terms that apply to the portions of the Services provided by our licensor, Made Super, LTD, please see: https://www.madesuper.com/privacy/. Made Super, LTD, has the right to enforce these terms against User as a third-party beneficiary of this Agreement.

2.3 Restrictions. User agrees to use the Service only as intended. User agrees not to copy, modify, or create derivative works of any Map Data or Software or otherwise use the Map Data or Software in any way outside of the Service.

User agrees not to share or use the Service for the benefit of any competitor of VST.

3. Location and Other Information Provided to VST

The Service may provide VST with information such as User’s queries, problem reports, usage logs, device type, network connectivity, real-time geographic location of User’s device, content used through the Service, or occurrences of technical errors and other information regarding User’s use of the Service and the device on which User use the Service. Any information received is subject to the voidspacetech.org Privacy Policy: https://voidspacetech.org/policies/privacy-policy.

4. Compensation & Fair Play

4.1 WT Owner is an Independent Business Owner who markets and makes available wellness sessions to Users of the Map Locator marketplace. WT Owner determines and sets their own prices of wellness sessions and operates their business independent of VST’s control or influence.

4.2 Client who visits a WT Owner for the purpose of having a Wellness Session agrees to pay the going rate to the WT Owner for their Wellness Session.

4.3 WT Owner agrees to perform the Wellness Session in a safe, respectful, courteous, professional manner in accordance with highest industry standards. They agree to perform the Wellness Session and provide the deliverables in compliance with and shall not violate any applicable laws and standards.

4.4 WT Owner further represents and warrants that (a) it has full power and authority to perform its obligations under this Agreement without the consent of any other person, and to own its property and the authority to carry on its business; (b) the execution, delivery and performance of this Agreement have been duly authorized by WT Owner and this Agreement constitutes a valid and binding agreement of WT Owner, enforceable against  WT Owner in accordance with its terms; (c) WT Owner is not under any obligation of a contractual or other nature to any person which is inconsistent or in conflict with this Agreement or which would prevent, limit or impair in any way the performance by WT Owner of its obligations under this Agreement or prevent or impair Visitor from realizing the full, intended benefits of the Services; (d) neither the performance of the Services by WT Owner nor the provision to and use by Visitor of deliverables, or the exercise of Visitor’s rights under this Agreement, will in any way constitute an infringement, misappropriation or other violation of any intellectual property rights or other rights of any third party.

4.5 For All Referred Clients, WT Owner agrees to provide the standard performance and duration expected of a typical paid wellness session and that any additional representation outside of the standard is voluntary and is not to be construed as a right or an entitlement to earn a commission.

4.6 WT Owner agrees that providing additional sessions to a Referred Client is also voluntary and is not to be construed as an enhanced right or a further entitlement to earn a commission.

4.7 VST agrees to pay WT Owner who is also a marketer (a WT Affiliate or a WT Influencer) a Celebration Bonus of US $100 for each qualifying Wellness Session Customer who has settled a QEWB purchase through WT Owner sales representation. No action, other than using the Map Locator, is required of WT Owner to receive the bonus. The bonus is paid monthly on the 15th of the month following the month when the customer made full payment for the QEWB. If this date falls on a weekend or a public holiday, the payment will occur on the next business day. Payments will be made via ACH or PayPal, as provided by WT Owner.

4.8 VST agrees to pay WT Owner who is not a marketer (a WT Affiliate or a WT Influencer) a Thank You Bonus of US $100 for each qualifying Wellness Session Customer who has settled a QEWB purchase through a marketer’s (WT Affiliate, WT Influencer, or the WT Department) sales representation. No action, other than using the Map Locator, is required of WT Owner to receive the bonus. The bonus is paid monthly on the 15th of the month following the month when the customer made full payment for the QEWB. If this date falls on a weekend or a public holiday, the payment will occur on the next business day. Payments will be made via ACH or PayPal, as provided by WT Owner.

4.9 VST agrees to grant a Wellness Session Credit of US $100 towards the purchase of a QEWB to a qualifying Wellness Session Customer who has decided to purchase a QEWB and have communicated this purchase decision to their originating point of sales representation: the WT Affiliate, the WT Influencer, the WT Owner or the VST Team Member. To receive this credit, the Wellness Session Customer will be required to submit to VST a Tax Receipt obtained from the WT Owner who provided the Wellness Session. The receipt should be submitted at the time of invoicing and should show the name and address of the WT Owner, the date the service was performed, the name of the client served, the purchased item (QEWB Wellness Session), and the amount that was paid.

4.10 A qualifying Wellness Session Customer is a referred client or an announced client who has received and paid for a Wellness Session with the WT Owner who had scheduled and performed the Wellness Session. A referred client is a client who was referred to a WT Owner for a Wellness Session. The referral was made through our Map Locator by a WT Affiliate, a WT Influencer, or our WT Department. An announced client is a client who went directly to a WT Owner for a Wellness Session. Referrals and announcements are done through the Map Locator.

4.11 User agrees that VST’s Financial obligations are limited to the parameters set forth in this agreement. User agrees that the system, the structure and the agreement supports fair play and protects the financial interests of all Users.

5. General

5.1 Changes and Amendments. VST reserves the right to change, suspend or discontinue the Service, or any part of it, at any time without notice. VST may amend the Agreement at its sole discretion by posting the revised terms. Users’ continued use of the Service after any amendment evidences their agreement to be bound by it.

5.2 Suspension and Termination. User agrees that User’s rights under the Agreement will automatically terminate without notice if User fails to comply with the terms of the Agreement. VST’s failure to enforce User’s strict compliance with the Agreement will not constitute a waiver of any of our rights. VST may terminate the Agreement or restrict, suspend or terminate User’s use of the Service at its discretion at any time without notice.

5.3 Disputes/Binding Arbitration. Any dispute or claim arising from or relating to the Agreement or the Service is subject to the binding arbitration, governing law, disclaimer of warranties, limitation of liability and all other terms in the voidspacetech.org Terms of Service.

5.4 Limitations of Liability. Without limiting the disclaimer of warranties and limitation of liability in the voidspacetech.org Terms of Service, in no event will VST or VST’s licensors' total liability to User for all damages (other than as may be required by applicable law in cases involving personal injury) arising out of or related to User’s use or inability to use the Service exceed the amount of fifty dollars ($50.00). These limitations will apply to User even if the remedies fail of their essential purpose.
