1. Acceptance and Scope
These Terms of Service ("Terms") govern your access to and use of voidspacetech.org and any other website, online feature, account, content, or service operated by Void Space Technologies, LLC (collectively, the "Site"), and your purchase or use of VST products, technologies, programs, and related services (collectively, the "Offerings").
By accessing or using the Site, creating an account, or completing a purchase, you agree to these Terms and the policies and offering-specific terms incorporated into them. If you do not agree, do not use the Site or purchase an Offering.
These Terms constitute a legally binding agreement between you and VST. If you act on behalf of an organization or another person, you represent that you have authority to bind them.
2. Related Policies and Offering-Specific Terms
VST maintains separate policies for subjects that require fuller customer information. Those policies are incorporated into these Terms by reference and should be reviewed where applicable:
- Privacy Policy;
- Shipping & Delivery Policy;
- Returns, Refunds & Order Cancellation Policy;
- Purchase Options & Payment Plans Policy;
- Warranty & Product Guarantees Policy;
- Medical & Wellness Disclaimer; and
- Text Messaging Terms & Conditions.
An Offering may also be governed by a product page, quotation, invoice, sales order, program agreement, warranty, guarantee, promotion terms, financing terms, or other terms presented before purchase ("Offering-Specific Terms").
If terms conflict, the Offering-Specific Terms control for that Offering; the applicable separate policy controls for its subject matter; and these Terms control all other matters, unless a document expressly states otherwise or applicable law requires a different result.
3. Eligibility
You must be at least 18 years old or the age of legal majority in your jurisdiction and legally able to enter into a binding agreement. You agree to provide accurate, current, and complete information and to use the Site and Offerings only in compliance with applicable law.
4. Products, Programs, and Orders
VST may offer wellness products, specialized wellness technologies, educational resources, programs, and related services. Availability, features, specifications, imagery, pricing, and descriptions may change, subject to applicable law and any existing written agreement.
We make reasonable efforts to present information accurately, but errors may occur. VST may correct errors and may refuse, limit, or cancel an order for legitimate reasons, including availability, pricing or description errors, suspected fraud, payment issues, safety concerns, legal restrictions, or inability to fulfill. If VST cancels an order after receiving payment, it will provide the refund required by the applicable policy and law.
An order confirmation acknowledges receipt of an order and does not necessarily constitute final acceptance. Payment, fulfillment, delivery, cancellation, returns, guarantees, and warranties are governed by the applicable separate policies and Offering-Specific Terms.
5. Pricing and Payment
Prices are shown in the currency stated at the point of purchase and may exclude shipping, taxes, duties, or other charges. You represent that you are authorized to use the payment method submitted and authorize VST and its payment providers to process the transaction.
Any deposit, installment, financing, or other payment arrangement is governed by the terms presented before purchase and VST’s Purchase Options & Payment Plans Policy. A payment arrangement does not, by itself, change the return, refund, guarantee, or warranty terms applying to the Offering.
6. Customer Accounts
Where an account is available, you are responsible for keeping account information accurate, maintaining the confidentiality of login credentials, and promptly notifying VST of suspected unauthorized access. You are responsible for activity conducted through your account except to the extent caused by VST or otherwise provided by law.
VST may suspend or restrict an account when reasonably necessary to address security, fraud, legal, operational, or Terms violations. Where appropriate, VST will provide notice and an opportunity to resolve the issue.
7. Appropriate Use and Wellness Information
You are responsible for following all product labels, instructions, precautions, contraindications, care guidance, program requirements, and manufacturer documentation. Do not modify, disassemble, repair, or use an Offering outside its intended purpose unless expressly authorized.
VST’s wellness and educational content is governed by the Medical & Wellness Disclaimer. It is not a substitute for professional medical advice, and no specific wellness outcome is promised except through an express written guarantee or warranty.
8. Communications
VST may send communications necessary to respond to inquiries, administer accounts, process orders, provide customer support, schedule appointments, provide shipping and delivery updates, or otherwise deliver requested Offerings. Marketing communications are sent only where you have subscribed, consented, or where otherwise permitted by applicable law.
Text messages are governed by VST’s Text Messaging Terms & Conditions. Personal-information practices are governed by VST’s Privacy Policy. You agree that electronic notices, disclosures, agreements, invoices, and records may satisfy legal requirements for written communications where permitted by law.
9. Intellectual Property and Limited License
The Site and its content—including trademarks, logos, product names, text, graphics, photographs, videos, documents, educational materials, software, and design elements—are owned by or licensed to VST and are protected by applicable intellectual-property laws.
VST grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and VST-provided materials for personal use or your own internal business use in connection with an authorized Offering. You may not copy, modify, distribute, sell, license, publicly display, create derivative works from, reverse engineer, scrape, or commercially exploit VST content without prior written permission, except where applicable law permits otherwise.
10. Acceptable Use
You may not use the Site or Offerings to:
- violate applicable law or the rights of another person;
- misrepresent your identity, authority, affiliation, or the source of content;
- gain or attempt unauthorized access to an account, system, network, or data;
- introduce malware, harmful code, or excessive automated traffic;
- scrape, harvest, or collect data except as expressly authorized;
- interfere with security, availability, or normal operation; or
- engage in fraudulent, abusive, deceptive, or harmful conduct.
VST may investigate suspected violations and may restrict access when reasonably necessary to protect customers, systems, business operations, or legal rights.
11. Reviews, Feedback, and Other User Content
If you submit a review, testimonial, comment, suggestion, photograph, video, or other material ("User Content"), you retain ownership of your content. You grant VST a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, adapt, publish, display, distribute, and use that User Content in connection with operating, improving, and promoting VST and its Offerings, subject to applicable law and VST’s Privacy Policy.
You represent that you have the rights and permissions needed to submit the User Content and that it is not unlawful, misleading, infringing, confidential, or harmful. VST may remove or decline to publish content that violates these Terms or applicable law.
Nothing in these Terms prohibits or penalizes an honest review, assessment, or other lawful statement about VST or its Offerings.
12. Third-Party Services and External Offerings
The Site may link to or integrate with independently operated websites, platforms, payment providers, financing providers, fulfillment services, or other third-party services. When a transaction or service is clearly identified as being provided by a third party, that provider’s terms and privacy practices also apply.
VST does not control third-party services and is not responsible for their independent content, availability, security, or practices. This provision does not reduce any responsibility VST has under an express written agreement or applicable law.
13. Site Availability and Disclaimers
VST does not guarantee that the Site will always be uninterrupted, secure, or error-free, or that all content will always be current. The Site and general informational content are provided on an "as is" and "as available" basis to the fullest extent permitted by law.
Except for express written commitments in an applicable guarantee, warranty, sales document, program agreement, or other Offering-Specific Terms, and except for rights that cannot legally be excluded, VST disclaims warranties relating to the Site and general content, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Nothing in this section overrides VST’s Warranty & Product Guarantees Policy, a manufacturer’s written warranty, or any mandatory consumer warranty or remedy.
14. Limitation of Liability
To the fullest extent permitted by law, VST and its officers, directors, employees, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, goodwill, data, or business opportunity, arising from the Site or an Offering.
To the fullest extent permitted by law, VST’s aggregate liability arising from or relating to an Offering will not exceed the amount paid to VST for the specific Offering giving rise to the claim. For a claim relating solely to use of the free Site and not to a purchase, VST’s aggregate liability will not exceed USD $100.
These limitations do not apply to liability that cannot lawfully be excluded or limited, including any liability arising from fraud, willful misconduct, or other matters for which applicable law prohibits limitation. Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.
15. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless VST and its officers, directors, employees, contractors, and affiliates from third-party claims, losses, liabilities, and reasonable legal costs arising from your unlawful misuse of the Site or an Offering, your material breach of these Terms, your infringement of another person’s rights, or your User Content.
This section does not require a consumer to indemnify VST for VST’s own negligence, misconduct, breach, or legal responsibility.
16. Events Outside VST’s Reasonable Control
VST is not responsible for delay or failure caused by events outside its reasonable control, such as natural disasters, severe weather, government action, labor disruption, utility or internet failure, cyber incidents, transportation interruption, or supply-chain disruption. VST will make commercially reasonable efforts to resume performance and will honor any cancellation, refund, or other rights required by the applicable policy and law.
17. Suspension and Termination
You may stop using the Site at any time. VST may suspend or terminate access to the Site or an account for a material violation of these Terms, fraud, security risk, unlawful conduct, or where required to protect customers, VST, or third parties.
Termination of Site access does not cancel an existing purchase, payment obligation, guarantee, warranty, or other agreement unless VST confirms otherwise in writing or applicable law requires it. Provisions that by their nature should survive termination will remain effective.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where the mandatory consumer laws of another jurisdiction apply.
Before commencing formal proceedings, the parties will make a good-faith effort to resolve the dispute through written notice and direct discussion, where appropriate and without affecting any applicable limitation period or right to urgent relief.
Unless applicable law requires otherwise, legal proceedings relating to these Terms will be brought in the state or federal courts located in Denton County, Texas, and each party consents to those courts’ jurisdiction.
19. Changes to These Terms
VST may update these Terms to reflect changes in its business, Offerings, technology, or legal obligations. The revised Terms will display a new Last Updated date. Where a change is material, VST will provide additional notice when reasonably appropriate.
Changes apply prospectively. A completed purchase remains governed by the terms and policies accepted for that purchase unless applicable law requires otherwise or the parties expressly agree in writing.
20. General Provisions
These Terms, the incorporated policies, and applicable Offering-Specific Terms constitute the entire agreement concerning their subject matter. If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective.
Failure to enforce a provision is not a waiver. You may not assign your rights or obligations without VST’s written consent. VST may assign these Terms in connection with a merger, reorganization, financing, sale of assets, or similar business transaction. Section headings are for convenience only.
